Terms of Service

Gethen Intelligence is a business strategy advisory and bespoke AI systems engineering consultancy. We conduct strategic diagnostics (including multi-year review analysis, storefront audits, social footprint evaluations, and operational reviews) and design, build, and operate custom AI agents and bespoke systems for business clients.

Our services include, depending on the engagement: strategic business diagnostics, customer feedback intelligence, digital storefront audits, design and deployment of AI voice/chat systems, lead acquisition and follow-up pipelines, review systems, social media intelligence, knowledge-base assistants, and bespoke AI systems engineering. The exact scope, deliverables, and timeline for any engagement are set out in a separate proposal or statement of work.

Pricing is fixed and agreed in writing before work begins. We do not add scope or charges to an active engagement without your prior agreement. Payment terms (schedule, method, late-payment handling) are set out in the applicable proposal.

Systems we build use AI models to draft, decide, or act — for example, drafting a review response, generating a social post, or answering a customer question. AI output can be wrong or incomplete. Where a deliverable is customer-facing or otherwise consequential, we build in a human-review step by default; you are responsible for reviewing and approving anything before it goes out, unless you explicitly instruct us to run it unattended.

• Provide accurate information about your business, systems, and goals.
• Hold the necessary rights to any content, accounts, or data you give us access to.
• Review AI-generated output before relying on it for decisions affecting third parties.
• Keep any credentials or connected accounts (email, calendar, payment, social) secure on your end.

Deliverables built specifically for you under a statement of work — configuration, custom code written for your engagement, and content you provided — are yours upon full payment. We retain ownership of our underlying frameworks, reusable components, and general-purpose tooling, and may reuse and improve them across engagements, provided we do not disclose your confidential information in doing so.

We treat non-public information you share with us as confidential, and use it only to deliver the engagement. We expect the same regarding any non-public information about our methods or pricing that we share with you.

Some automations connect to third-party services on your behalf (for example, email delivery, calendar, payment processing, or social platforms). Your use of those services is subject to their own terms; we are not responsible for their availability or acts.

We provide services with reasonable care and skill. Beyond that, and except as agreed in writing in a specific statement of work, services and deliverables are provided “as is” without further warranties, including as to fitness for a particular purpose or uninterrupted operation.

To the fullest extent permitted by law, Gethen Intelligence will not be liable for indirect, incidental, or consequential damages arising from use of our services or this website. Our total liability arising out of or related to the services, whether in contract, tort, or otherwise, will not exceed the total fees paid by you to us in the 6 months preceding the claim. This limitation does not apply to liability arising from gross negligence, willful misconduct, breach of confidentiality, or infringement of intellectual property rights.

Either party may end an ongoing engagement as set out in the applicable statement of work. On termination, we will hand off or deactivate any deployed agents and provide any data you're entitled to under that agreement.

These terms are entered into between you and Gethen Capital Management LLC, a Delaware limited liability company operating as Gethen Intelligence, and are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.

We may update these terms as the business evolves. Material changes will be reflected by an updated date at the top of this page.
